GIFTS AND PRESENTS
Save and except as stated above, unsolicited gifts including those given to the independent directors by the company or by other directors are permissible if they are customary and commonly accepted business courtesies and given and accepted without an express or implied understanding that the director is in any way obligated or influenced by acceptance of the gifts.
WAIVER
The Board of Directors/Appropriate Authority, in extraordinary situations and for reasons to be recorded in writing, may grant waiver from any one or more of the provisions of this Code of Conduct. The request of waiver shall be supported by the detailed facts of the case and reasons warranting such waiver.
NO RIGHTS CREATED
This Directors’ Code set forth guidelines for conduct for the Board of Directors and Senior Management Executives. It is not intended to and does not create any rights in any Director or Senior Management Executive, client, supplier, customer, shareholder, or any other person or entity.
